Relief addresses cross-border and group transactions

The US Securities and Exchange Commission announced on 30 October that it granted exemptions from parts of its Treasury central-clearing framework. Subject to specified conditions, certain repo transactions with non-US counterparties and certain inter-affiliate repo transactions will be excluded from the definition of eligible secondary-market transactions. The inter-affiliate relief applies when a direct participant of a Treasury securities clearing agency transacts with a qualifying affiliated entity that is not an investment company.

Implementation continues under revised boundaries

The SEC said the decision followed industry requests and public engagement about the operational realities of cross-border repo activity. It does not abandon Treasury clearing: compliance is still scheduled for 31 December 2026 for eligible cash-market transactions and 30 June 2027 for eligible repo transactions. Firms must therefore map which trades meet the relief’s conditions rather than assume all offshore or intra-group activity is excluded. The Commission continues to direct implementation questions to its Trading and Markets staff.

Editorial analysis

What it means for merchants

Payment firms and merchants are unlikely to apply the repo rule directly, but treasury providers, broker-dealers and fintechs financing liquidity through Treasury markets should update transaction classification, counterparty data and clearing procedures. Cross-border status alone is not enough; each exemption’s conditions need auditable support.
